These Terms and Conditions apply to all website design and development services provided by Potoki Paul. By engaging these services, you (the “Client”) agree to the following terms.
1. Definitions
Client: The individual or company requesting website design or development services.
Potoki Paul: The service provider responsible for delivering the agreed website design and development services.
2. Fees and Deposits
Two payment options are available:
60/40 Plan: 60% deposit before work begins and 40% due before project delivery.
50/50 Plan: 50% deposit before work begins and 50% paid across agreed project milestones.
Work will only begin after the initial deposit has been received. The final balance must be paid before the website is launched, transferred, or login credentials are released.
3. Supply of Materials
The Client must provide all required materials needed to complete the project. This includes text content, images, branding assets, and any other necessary information.
Failure to provide required materials on time may result in project delays. Potoki Paul reserves the right to invoice for work already completed if progress is delayed due to missing materials.
The Client is also responsible for providing timely feedback and approvals to keep the project moving forward.
4. Revisions
Reasonable revisions are included during the design phase. Minor revisions may include adjustments such as text updates, image replacements, layout adjustments, or color changes.
Major changes, including new features, additional pages, or significant design changes outside the original project scope, may incur additional charges.
5. Project Communication
The Client must appoint a single representative responsible for communication, feedback, and approvals throughout the project.
6. Project Timelines
Project timelines depend on timely communication and delivery of materials from the Client.
If requested materials or feedback are not received within 10 business days, the project may be paused. A restart fee may apply before work resumes.
7. Approval of Work
Upon completion of the project, the Client will be notified and the final invoice will be issued.
The Client will have 7 days to review the work and submit any requested revisions in writing. If no feedback is received within this period, the project will be considered approved and completed.
8. Payment Terms
Final invoices must be paid within 10 business days.
Late payments may attract a 10% late fee if payment remains outstanding. Potoki Paul reserves the right to suspend services or withhold delivery of the website until outstanding balances are paid.
9. Client Responsibilities
The Client confirms that they own or have permission to use all materials supplied for the project, including text, images, graphics, and other content.
The Client agrees to indemnify and hold Potoki Paul harmless against any claims resulting from the use of materials supplied by the Client.
10. Ownership and Licensing
Upon full payment, the Client receives the right to use the completed website and its content.
Potoki Paul retains the right to display the completed project in portfolios, case studies, and promotional materials unless otherwise agreed in writing.
11. Search Engine Optimization
Basic search engine optimization practices may be applied during development. However, Potoki Paul does not guarantee specific search engine rankings, website traffic levels, or business outcomes.
12. Third-Party Services
Websites may rely on third-party services such as hosting providers, payment gateways, plugins, or external tools. Potoki Paul is not responsible for service disruptions, pricing changes, or technical issues caused by third-party providers.
13. Browser Compatibility
Websites will be tested on current versions of major browsers including Chrome, Safari, Edge, and Firefox. Some third-party plugins or tools may not function identically across all browsers or devices.
14. Domains and Hosting
If domain names or hosting services are purchased on behalf of the Client, login credentials will be provided after full payment for the project has been received.
15. Backups and Security
Unless otherwise agreed in writing, the Client is responsible for maintaining website backups, updates, and ongoing security after the website is launched.
16. E-Commerce Compliance
If the website includes e-commerce functionality, the Client is responsible for complying with all applicable laws and regulations related to online transactions, taxes, privacy policies, and consumer protection.
17. Subcontracting
Potoki Paul reserves the right to subcontract parts of the project to qualified professionals when necessary.
18. Confidentiality
All confidential information shared during the course of the project will be kept private and will not be disclosed to third parties without permission.
19. Additional Expenses
Any expenses outside the original proposal are the responsibility of the Client. These may include but are not limited to stock photos, premium themes or templates, plugins, fonts, domain registration, and hosting services.
20. Termination
Either party may terminate the project in writing.
If the project is cancelled by the Client after work has begun, the Client will be responsible for payment for all work completed up to the date of cancellation. All deposits are non-refundable once work has started.
21. Maintenance
One month of minor updates is included after the website launch. Minor updates may include small text edits, image replacements, or simple layout adjustments. Additional maintenance or major updates will be billed separately.
22. Liability
Potoki Paul will not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the website. Total liability under this agreement will not exceed the total amount paid by the Client for the project.
23. Governing Law
This agreement shall be governed by and interpreted in accordance with the laws of Nigeria. Any disputes arising from this agreement shall be subject to the jurisdiction of Nigerian courts.
24. Scope of Work
All services will be delivered according to the project proposal or written agreement between the Client and Potoki Paul. Any work requested outside the agreed scope may require additional charges.
25. Client Inactivity
If the Client becomes unresponsive for 30 days or more, the project may be considered abandoned. All payments made are non-refundable and resuming the project later may require a new agreement.
26. Post-Launch Changes
Once the website has been launched and approved by the Client, any further changes or additional requests will be treated as new work and billed separately unless covered under a maintenance agreement.
27. Project Launch Timeline
The Client agrees to review and launch the completed website within 30 days of delivery. If the website is not launched within this period due to delays from the Client, the project may be considered completed and closed.
28. Force Majeure
Neither party shall be held responsible for delays or failure to perform obligations due to events beyond reasonable control including natural disasters, internet outages, government restrictions, illness, or power failures.
29. Ongoing Support
Unless a separate maintenance agreement is in place, Potoki Paul is not responsible for ongoing website support, updates, security monitoring, or troubleshooting after the included maintenance period has ended.
